These Terms of Service (“Terms”) govern your access to and use of the Orbital investment-research platform, including orbitalaip.com, the application at app.orbitalaip.com, and related services (together, the “Service”), provided by Orbital AI, Inc. (“Orbital,” “we,” “us,” or “our”).
Please read these Terms carefully. They include important provisions that limit our liability, disclaim warranties, and require the resolution of most disputes through binding arbitration on an individual basis. Section 8 explains that Orbital does not provide investment advice.
By creating an account, joining the waitlist, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements and that your use complies with all laws that apply to you.
2. The Service
Orbital provides tools to gather market and reference data, build and run automated research workflows and AI agents, synthesize results, and view them in dashboards and alerts. The Service is offered on an evolving basis; we may add, change, or remove features at any time. The Service may be offered as a beta or early-access release, which may contain errors and may change or be discontinued.
3. Accounts
You are responsible for the information you provide, for keeping your credentials confidential, and for all activity under your account. Tell us promptly at hello@orbitalaip.com if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms or that create risk or legal exposure for us or others.
4. Plans, credits, and billing
- Plans and credits. Paid plans and credit-based usage are described on our pricing page. Credits and plan features may have expiration or usage limits as described at purchase.
- Fees and renewals. Recurring subscriptions renew automatically for the same term unless you cancel before the renewal date. You authorize us and our payment processor to charge your payment method for all applicable fees and taxes.
- Changes to pricing. We may change our fees. We will give you notice of changes to recurring fees, and they take effect on your next billing cycle.
- Cancellation and refunds. You may cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable and cancellation does not entitle you to a refund of amounts already paid or a refund of used or unused credits.
5. Acceptable use
You agree not to:
- Use the Service to violate any law or regulation, including securities laws, or to engage in market manipulation, insider trading, or other unlawful trading activity;
- Infringe the intellectual property, privacy, or other rights of others;
- Access the Service by unauthorized means, probe or test its security, or interfere with or disrupt its integrity or performance;
- Reverse engineer, scrape, or attempt to extract source code or data except as permitted by law;
- Resell, redistribute, or provide the Service or its data outputs to third parties except as expressly permitted;
- Exceed rate limits, circumvent usage restrictions, or use the Service to build a competing product; or
- Upload malware or use the Service in a way that harms Orbital, other users, or third parties.
6. Your content
You retain ownership of the Content you submit to the Service. You grant Orbital a worldwide, non-exclusive license to host, process, transmit, and display your Content solely to operate and improve the Service and to provide it to you, including transmitting Content to the AI and data providers needed to fulfill your requests. You are responsible for your Content and represent that you have the rights necessary to submit it and that it does not violate these Terms or any law.
7. AI outputs
The Service uses AI to generate outputs based on your inputs and the data it retrieves. Given the nature of AI and markets, outputs may be inaccurate, incomplete, or out of date, and similar inputs may produce different results. Outputs are provided “as is” for your internal research use. As between you and Orbital, and to the extent permitted by law, you may use outputs you generate, but you are solely responsible for reviewing, verifying, and deciding whether to rely on them. Outputs are not guaranteed to be unique and similar outputs may be generated for other users.
8. Not investment, legal, or tax advice
Orbital is a research and information tool. It is not a broker-dealer, investment adviser, or financial planner, and it does not provide investment, legal, accounting, or tax advice. Nothing in the Service is a recommendation, solicitation, or offer to buy or sell any security or to adopt any investment strategy, and no fiduciary or advisory relationship is created by your use of the Service. Market and financial data may be delayed, inaccurate, or incomplete and is provided by third parties. Investing involves risk, including the possible loss of principal, and past performance does not guarantee future results. You are solely responsible for your own investment decisions and should consult a licensed professional before acting. To the fullest extent permitted by law, Orbital is not liable for any trading or investment decisions you make.
9. Third-party services and data
The Service relies on and may integrate with third-party services and data providers. Their content and services are provided by those third parties, may be governed by separate terms, and may change or become unavailable. Orbital does not control and is not responsible for third-party services or the accuracy of third-party data.
10. Intellectual property
The Service, including its software, design, and content (excluding your Content and third-party data), is owned by Orbital and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. All rights not expressly granted are reserved.
11. Feedback
If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them for any purpose without obligation to you.
12. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or others. Upon termination, your right to use the Service ends. Provisions that by their nature should survive — including ownership, disclaimers, limitations of liability, and dispute resolution — will survive.
13. Disclaimers
To the fullest extent permitted by law, the Service and all outputs and data are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that outputs or data will be accurate or reliable.
14. Limitation of liability
To the fullest extent permitted by law, Orbital and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or investment losses, arising out of or relating to the Service, even if advised of the possibility of such damages. Our total liability for all claims relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15. Indemnification
You agree to indemnify and hold harmless Orbital and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your Content, or your violation of these Terms or any law or third-party right.
16. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Except where prohibited by law, you and Orbital agree to resolve any dispute relating to these Terms or the Service through binding individual arbitration rather than in court, and to waive any right to a jury trial or to participate in a class action. Either party may bring qualifying claims in small-claims court, and either party may seek injunctive relief in court to protect its intellectual property. You may opt out of arbitration by notifying us at hello@orbitalaip.com within 30 days of first accepting these Terms.
17. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.
18. General
These Terms, together with the Privacy Policy and any plan-specific terms, are the entire agreement between you and Orbital regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
